01 — Acceptance of these terms

By accessing or using the Alphex AI website or by requesting or using Alphex AI services, you acknowledge that you have read and understood these Terms of Service.

If you are using Alphex AI on behalf of a company or organization, you represent that you have authority to accept these terms on its behalf.

If you do not agree with these terms, please do not use the website or services.

02 — Alphex AI services

Alphex AI is an AI services company that helps businesses design, build, integrate, automate, and improve practical AI systems.

Our services may include AI strategy and consulting, conversational AI, knowledge and RAG systems, AI agents, AI automation, AI integrations, custom AI solutions, multimodal AI, implementation, testing, and optimization.

The specific services, deliverables, technical requirements, timelines, responsibilities, and assumptions for a particular project may be defined in a separate proposal, statement of work, order, or other written agreement.

03 — Service engagements

A request for information, enquiry, consultation, or quotation does not by itself create a service engagement.

A project becomes an agreed engagement when the relevant commercial and project terms have been accepted by the parties through an appropriate written agreement, proposal, statement of work, or other confirmation.

Where a separate agreement applies to a particular project, that agreement will govern the project-specific terms. In the event of a conflict, the applicable project agreement may take precedence over these general website terms for that project.

04 — Accounts and enquiries

Certain Alphex AI features may require an account. You are responsible for providing accurate information and maintaining the security of credentials associated with your account.

You should notify us if you believe your account has been accessed without authorization or if information associated with your account is no longer accurate.

Enquiries submitted through the website should contain information that you are authorized to provide.

05 — Acceptable use

You agree to use the website and services responsibly and in accordance with applicable law.

You must not use Alphex AI services to:

  • Violate applicable laws or regulations.
  • Infringe the rights of another person or organization.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Introduce malicious code, harmful software, or activities designed to disrupt services.
  • Abuse, overload, interfere with, or circumvent reasonable technical controls.
  • Use AI systems in ways that create unlawful, fraudulent, deceptive, or harmful activity.

We may take reasonable action where misuse or abuse threatens the security, availability, integrity, or legitimate operation of our services.

06 — Client and user content

You remain responsible for information, documents, prompts, datasets, instructions, materials, and other content that you provide to Alphex AI or make available through a service.

You represent that you have the necessary rights, permissions, and authority to provide such content and to authorize its use for the relevant service.

You should not provide sensitive, confidential, personal, regulated, or proprietary information unless the relevant service and agreed security arrangements are appropriate for that information.

07 — AI-generated outputs

AI systems can produce inaccurate, incomplete, outdated, biased, or otherwise unsuitable outputs. AI-generated information should therefore be reviewed by an appropriately qualified person before it is relied upon for important decisions or actions.

Alphex AI does not represent that every AI-generated output will be accurate, complete, reliable, or suitable for a particular purpose.

Where an AI system is designed, configured, or integrated for a particular business workflow, the client remains responsible for determining whether the resulting system is appropriate for its intended use.

AI assistance should support human decision-making rather than automatically replace appropriate professional judgment, review, or oversight.

08 — Intellectual property

The Alphex AI website, branding, visual design, written materials, software, original content, and other materials made available by Alphex AI are owned by or licensed to Alphex AI unless otherwise stated.

You may not copy, reproduce, modify, distribute, sell, reverse engineer, or commercially exploit Alphex AI materials except where permitted by applicable law or with appropriate authorization.

Ownership and licensing of project-specific deliverables created for a client will be determined by the applicable project agreement. Third-party components, open-source software, models, libraries, or services may remain subject to their own licenses and terms.

09 — Third-party services

Alphex AI services may rely on or integrate with third-party technologies, hosting providers, authentication services, analytics platforms, AI models, APIs, communication tools, databases, or other external services.

Third-party services may have their own terms, privacy policies, availability limitations, pricing, and technical requirements.

Alphex AI is not responsible for independent changes, outages, failures, or policies of third-party services outside our reasonable control.

10 — Fees and payment

Service fees are generally determined according to the scope, complexity, timeline, technical requirements, integrations, and other circumstances of a project.

Where applicable, pricing, payment schedules, milestones, taxes, third-party costs, expenses, and other commercial terms will be stated in the relevant proposal, quotation, invoice, statement of work, or agreement.

Unless otherwise agreed in writing, project-specific commercial terms control the payment obligations for that engagement.

11 — Confidentiality

We understand that business projects may involve information that is confidential or commercially sensitive.

Where a separate confidentiality agreement or project agreement applies, the confidentiality obligations contained in that agreement will govern the relevant information.

Nothing in these general website terms should be interpreted as creating blanket confidentiality obligations for every communication or piece of information submitted through the website.

12 — Disclaimers

The Alphex AI website and general information are provided on an informational and availability basis. We do not guarantee that the website or every service feature will always be uninterrupted, error-free, or available.

To the extent permitted by applicable law, Alphex AI disclaims warranties that are not expressly provided in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Information published on the website should not be treated as legal, financial, medical, security, or other professional advice.

13 — Limitation of liability

To the maximum extent permitted by applicable law, Alphex AI will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or relating to use of the website or services.

This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, except where such limitation is not permitted by law.

For a paid service engagement, any agreed limitation of liability or allocation of risk contained in the applicable project agreement will govern that engagement.

14 — Suspension and termination

We may restrict, suspend, or terminate access to website features or accounts where reasonably necessary to protect our systems, users, third parties, or legitimate business interests, including in cases of misuse or violation of these terms.

Termination of a website account does not automatically terminate a separate service agreement. Project engagements are governed by their applicable contractual terms.

Provisions that by their nature should continue after termination may remain applicable, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, and dispute terms.

15 — Changes to these terms

We may update these Terms of Service from time to time to reflect changes to our website, services, technology, business practices, or legal requirements.

The updated version will be published on this page with a revised update date.

Continued use of the website after an updated version becomes available may constitute acceptance of the revised terms to the extent permitted by applicable law.

16 — Governing law

These general terms are intended to be interpreted in accordance with applicable laws of India, subject to any mandatory rights or protections that apply to you.

Where a separate written service agreement contains its own governing law, jurisdiction, or dispute-resolution provisions, those provisions will govern the relevant service engagement.

Nothing in these terms is intended to exclude or limit any rights that cannot lawfully be excluded or limited.

17 — Contact Alphex AI

If you have questions about these Terms of Service, our services, or a particular engagement, you can contact Alphex AI.
